Terms of Service

1. Definitions

• “Service” means the PreconIntel platform, including all web applications, APIs, edge functions, and related services.
• “Customer” or “you” means the entity or individual that registers for an account.
• “Customer Data” means all data, documents, and content you upload or input into the Service.
• “AI Parse” means a single instance of AI-powered document processing that extracts structured data from a bid document.
• “Plan” means the subscription tier (Starter, Pro, or Enterprise) selected by the Customer.

2. Account Registration

2.1. You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials.

2.2. You must be at least 18 years old and authorized to bind the entity you represent. Each account represents a single organization.

2.3. You are responsible for all activity that occurs under your account, including actions by team members you invite.

3. Subscription Terms

3.1. Plans & Pricing. The Service is offered under tiered subscription plans (Starter, Pro, Enterprise) with features and limits as described on the Pricing page. Pricing is subject to change with 30 days’ advance notice.

3.2. Billing Cycle. Subscriptions are billed monthly or annually, depending on your selection. Annual subscriptions are billed at the start of each 12-month period.

3.3. Auto-Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

3.4. Upgrades. You may upgrade your Plan at any time. For annual plans, upgrades are prorated for the remainder of the billing period.

3.5. Downgrades. You may downgrade your Plan. Downgrades take effect at the next billing cycle. No partial refunds are provided for the current billing period.

3.6. Cancellation. You may cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for the unused portion of the current period.

3.7. Free Trial. New accounts receive a 14-day Pro trial. No credit card is required. After the trial, accounts transition to the Starter plan unless a paid plan is selected.

4. Usage Limits

Each Plan includes specific limits:

• AI Parses: Starter (25/month), Pro (200/month), Enterprise (unlimited). Unused parses do not roll over.
• Users: Starter (5), Pro (15), Enterprise (unlimited).
• Storage: Starter (10 GB), Pro (100 GB), Enterprise (unlimited).
• Projects: Starter (20 active), Pro (unlimited), Enterprise (unlimited).

If you exceed your Plan limits, we will notify you and may restrict access to features until you upgrade or the next billing period begins.

5. Acceptable Use

You agree to use the Service only for:

• Legitimate construction estimating, preconstruction, and project management purposes
• Processing construction-related bid documents, cost data, and project information

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malicious files, malware, or content designed to exploit the AI systems
• Attempt to access another organization’s data
• Reverse engineer, decompile, or disassemble the Service
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to collect data for purposes unrelated to construction
• Circumvent usage limits or security measures

6. Data Ownership & License

6.1. Your Data. You retain all ownership rights to your Customer Data. We do not claim ownership of your bids, documents, subcontractor records, or project information.

6.2. License to Process. You grant us a limited, non-exclusive license to process, store, and transmit your Customer Data solely for the purpose of providing the Service, including AI parsing, analytics, and integrations you authorize.

6.3. Anonymized Data. We may use anonymized, aggregated data derived from Customer Data to generate industry benchmarks and improve the Service. No individual company, project, or bid is identifiable from anonymized data. Enterprise customers may opt out.

6.4. Data Export. You may export your Customer Data at any time through the Service’s export functionality.

7. Intellectual Property

7.1. Our IP. The Service, including its design, features, AI models, algorithms, code, and documentation, is owned by PreconIntel and protected by applicable intellectual property laws.

7.2. Your IP. You retain all intellectual property rights in your Customer Data.

7.3. Feedback. If you provide feedback or suggestions, you grant us an unrestricted license to use that feedback without compensation.

8. Service Availability & Support

8.1. Availability. We provide the Service on a best-effort basis. We do not guarantee specific uptime percentages for Starter and Pro plans.

8.2. Enterprise SLA. Enterprise customers receive a separate Service Level Agreement with defined uptime commitments and response times.

8.3. Maintenance. We may perform scheduled and unscheduled maintenance that temporarily affects Service availability. We will provide advance notice when feasible.

8.4. Support. Starter plans receive email support. Pro plans receive priority email support. Enterprise plans receive dedicated support with a named success manager.

9. Limitation of Liability

9.1. THE SERVICE IS A DATA MANAGEMENT AND ANALYSIS TOOL. PRECONINTEL IS NOT RESPONSIBLE FOR CONSTRUCTION DECISIONS, BID AWARDS, COST ESTIMATES, OR BUSINESS OUTCOMES MADE USING THE SERVICE.

9.2. AI-generated data (parsed bid information, benchmarks, classifications) is provided as a decision-support tool and should be reviewed by qualified professionals before use.

9.3. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECONINTEL’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.4. IN NO EVENT SHALL PRECONINTEL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

10. Indemnification

You agree to indemnify and hold harmless PreconIntel from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third party’s rights.

11. Termination

11.1. By You. You may terminate your account at any time by cancelling your subscription and requesting account deletion.

11.2. By Us. We may suspend or terminate your account if you violate these Terms, fail to pay fees when due, or engage in conduct that harms the Service or other users.

11.3. Effect of Termination. Upon termination, your right to use the Service ceases. We retain your data for 90 days to allow for export. After 90 days, data is permanently deleted.

12. Governing Law & Disputes

12.1. These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

12.2. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Travis County, Texas.

13. General Provisions

13.1. Entire Agreement. These Terms, together with the Privacy Policy and any applicable Enterprise SLA, constitute the entire agreement between you and PreconIntel.

13.2. Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

13.3. Waiver. Failure to enforce any right does not constitute a waiver of that right.

13.4. Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5. Modifications. We may update these Terms with 30 days’ advance notice. Continued use after changes take effect constitutes acceptance.
